Our Client
Our client is a large, sophisticated Canadian organization seeking a Director, Legal Counsel - Commercial Contracting & Technology to join its legal team in Toronto. This is a senior role supporting complex technology and digital initiatives across the organization, with a particular focus on technology transactions, privacy, cybersecurity, data governance and emerging technologies.
The organization requires a minimum of four days per week in office.
Responsibilities

Draft, review and negotiate complex commercial and technology agreements, including SaaS, software licensing, cloud services, technology development and implementation, data arrangements and other technology products and services.

Provide strategic and practical legal advice on technology-related regulatory matters, including privacy and data protection, cybersecurity, artificial intelligence and other emerging technologies.

Advise on significant technology and digital initiatives throughout their lifecycle, including structuring, procurement, implementation and ongoing operation.

Identify legal and regulatory risks and develop practical, commercially appropriate solutions and mitigation strategies.

Partner closely with business, technology, procurement and risk stakeholders on complex initiatives and transactions.

Support the continuous improvement of legal templates, processes and ways of working.

Lead complex cross-functional matters and contribute to the mentoring and development of legal professionals.

Build strong relationships and facilitate consensus across legal, business and risk functions.
Requirements

7-10 years of relevant legal experience gained in-house and/or at a leading law firm.

Significant experience advising on complex technology transactions and commercial agreements, including SaaS, software licensing, cloud services, data arrangements and technology implementation.

Strong knowledge of technology-related legal and regulatory matters, particularly privacy and data protection, cybersecurity and data governance.

Experience advising on data breaches and privacy/regulatory matters is strongly preferred.

Exposure to artificial intelligence and other emerging technologies is an asset.

Strong business judgment with the ability to provide practical, commercially oriented advice in complex or ambiguous circumstances.

Excellent stakeholder management, communication and relationship-building skills.

Demonstrated leadership capabilities and the ability to independently manage multiple complex matters and competing priorities.
- Member in good standing with the Law Society of Ontario.
